Job Descriptions- Drafting, reviewing, negotiating, and developing various commercial contracts, agreements, and legal documents in both Thai and English.
- Providing legal advice and practical solutions on business operations to minimize legal risks and protect the company’s interests.
- Developing and implementing company policies, manuals, and procedures aligned with business operations and regulatory requirements.
- Preparing and filing statutory documents and reports with the Department of Business Development (DBD), the Stock Exchange of Thailand (SET), and the Securities and Exchange Commission (SEC).
- Managing and representing the company in dispute resolution and litigation matters.
- Preparing documents and applications for company registration and business licenses with government authorities.
- Conducting legal research and monitoring legislative and regulatory changes to ensure compliance with all applicable laws.
- Liaising with internal departments, external counsel, regulators, and stakeholders on legal and governance-related matters.
- Drafting correspondence and responses to government agencies and relevant third parties on legal matters.
- Organizing and managing Board of Directors’ and shareholders’ meetings, including scheduling, agenda preparation, minute-taking, and follow-up actions.
- Preparing and maintaining statutory books and records, including registers of shareholders and directors, minutes, and Board resolutions.
- Overseeing the management of share registration and dividend payment processes.
- Ensuring the timely publication of meeting notices in newspapers and compliance with legal timelines.
- Advising the Board of Directors and management on applicable laws, regulations, and the company’s articles of association.
